Moe's Custom Prototyping StudioLet’s build something

Working Together

Clear expectations before we start building.

Every prototype starts with an idea, but once a project moves forward, it helps to make the scope, confidentiality, responsibilities, costs, and ownership expectations clear from the beginning.

Moe’s Custom Prototyping Studio uses a straightforward set of project documents so that both sides understand how the work will be handled before substantial development begins.

Mutual Non-Disclosure Agreement

For discussing confidential ideas before a project begins.

If a project involves an invention, product concept, prototype, design, research idea, technical process, or other information the client would prefer to keep confidential, a Mutual Non-Disclosure Agreement can be signed before detailed information is exchanged.

The agreement protects confidential information shared by either party. Signing the NDA does not require either party to proceed with a project and does not by itself determine ownership of intellectual property developed later.

Prototype Development & Technical Services Agreement

The general framework for projects performed by the studio.

This agreement establishes the standard terms for prototype development, feasibility work, experimental testing, CAD, electronics, programming, fabrication, technical development, research support, consulting, and related services.

It addresses areas such as payment, project responsibilities, confidentiality, intellectual property, experimental risk, project changes, termination, and commercialization.

Project-specific details are normally handled separately through a Statement of Work.

Statement of Work

The plan for your individual project.

Each project is different. The Statement of Work records the specific work that has been authorized and may include:

  • Project objective and feasibility question
  • Scope of work
  • Expected deliverables
  • Project type
  • Labor rates
  • Materials and components
  • Estimated budget
  • Testing requirements
  • Schedule and milestones
  • Shipping or delivery
  • Project-specific terms

The Statement of Work allows a project to begin with a clearly defined phase while leaving room for additional development and future iterations.

How the Documents Work Together

For projects involving confidential ideas, the process can begin with the Mutual NDA before detailed technical information is shared.

If both sides decide to proceed, the Prototype Development & Technical Services Agreement establishes the general working relationship.

A Statement of Work then defines what is actually being built, tested, researched, fabricated, or developed for that particular project or phase.

For projects involving substantial original invention or collaborative development, additional intellectual-property or commercialization terms may be discussed and documented separately before commercialization.

Intellectual Property

Projects may generally fall into two categories:

Client-Funded Development

The client is primarily hiring Moe’s Custom Prototyping Studio to perform prototype development, fabrication, testing, implementation, CAD, electronics, programming, or similar paid development work.

Project-specific intellectual property is handled according to the applicable agreement and Statement of Work.

Collaborative / Inventive Development

Some projects may require substantial original research, experimentation, technical problem solving, or invention by Moe’s Custom Prototyping Studio.

Where commercially significant inventive contributions arise, ownership, assignment, licensing, royalties, buyout terms, equity, or other commercialization arrangements may be addressed through a separate written agreement.

A royalty is not automatically owed. Any royalty or continuing commercial compensation requires a separate written agreement.

Prototype Development — Not Licensed Professional Engineering

Moe’s Custom Prototyping Studio provides prototype development, research support, fabrication, testing, CAD for prototyping purposes, electronics, programming, technical design support, and related technical services.

Moe’s Custom Prototyping Studio does not represent itself as a registered professional engineering firm and does not provide:

When a project requires those services, the client is responsible for obtaining review or approval from an appropriately licensed professional.

Have a project in mind?

You do not need a finished design to start.

A sketch, problem, early concept, existing prototype, or even a simple “could this work?” is enough for an initial conversation.
